Terms of Service

Last updated: October 18, 2026

These Terms of Service ("Terms") govern your access to and use of Rastrata, including the websites at rastrata.com and app.rastrata.com and the related software, tools and services (together, the "Service"). The Service is operated by Gant Street LLC d/b/a Rastrata ("Rastrata", "we", "us" or "our"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of a business or other entity, you agree to these Terms for it and represent that you are authorized to do so, and "you" includes that entity.

1. The Service

Rastrata provides software that helps businesses keep, import, organize and report on financial records. The Service is intended for use in the United States. We may add, change, limit, suspend or discontinue any part of the Service, or any feature, plan, limit or integration, at any time and for any reason.

2. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You may need an account to use some or all of the Service. You agree to provide accurate information, to keep your credentials and the email account you use to sign in secure, and not to share your account. You are responsible for all activity that occurs under your account, in workspaces you own or administer, and by people and agents you invite or connect. You will notify us promptly if you believe your account has been used without authorization. We may refuse, limit or close any account at our discretion.

3. Your content

"Your content" means all information, data and files that you or people you authorize submit to or create in the Service, including financial records, transactions, accounts, balances, notes, documents and imported files. As between you and us, you retain your rights in your content. You are solely responsible for your content, for its accuracy and legality, and for having all rights and permissions needed to submit it and to allow us to use it as described in these Terms and the Privacy Policy.

You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, process, transmit, display, adapt and otherwise use your content as needed to provide, operate, secure, support, maintain and improve the Service, to comply with law, and to enforce these Terms. We may also create and use aggregated or de-identified information derived from the Service. We do not sell your personal information and we do not use the content of your books for advertising.

You are responsible for maintaining your own copies of your content. We do not promise that your content will be retained, backed up, restored or returned, and we are not liable for its loss, corruption or unavailability.

4. Our rights

The Service, including its software, design, text, graphics, trademarks and all related intellectual property, is owned by us or our licensors and is protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted. If you give us feedback or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.

5. Acceptable use

You agree not to, and not to allow others to: use the Service in violation of law or the rights of others; submit content you have no right to submit; access or attempt to access another person's account, workspace or data; probe, scan, test or attack the Service, or interfere with or overload it; circumvent any limit, permission, quota or security feature; copy, reverse engineer, decompile or create derivative works of the Service except as the law allows; use invitations, sign-in email or other features to send unwanted messages; use automated means to access or sign up for the Service except through interfaces we provide; or use the Service to build a competing product or to resell or provide it to others without our written consent. We may set and change limits on accounts, workspaces, members, requests, storage and use. We may investigate and take action against suspected violations, including by suspending or terminating access and by reporting to authorities.

6. Third-party services and agents

The Service may work with products, services and software provided by others, including banks, payment and data providers, and software agents that you connect to your account (for example with an access token). Those are not ours. We do not control them, we are not responsible for them or for what they do or access, and their own terms apply to them. An agent you connect can do what its token allows, and you are responsible for it and for the access you grant. We may change or end any integration at any time.

7. Not professional advice

Rastrata records, organizes and reports information that you provide. It is not an accountant, tax preparer, auditor, attorney or financial adviser, and nothing in the Service is accounting, tax, legal, financial or other professional advice. You are solely responsible for your books and records, the accuracy and completeness of the information in them, your tax returns and filings, compliance with law, and the decisions you make using the Service. You should consult qualified professionals about your particular situation.

8. Fees and payment

Some or all of the Service may require payment, including through trials, plans and subscriptions. We may introduce, change, limit or end fees, plans, trials, prices and limits at any time. Fees are charged in advance, in U.S. dollars, through our payment processor (currently Stripe, Inc.), and a subscription renews automatically for successive periods until you cancel it. By subscribing, you authorize us and our payment processor to charge the payment method you provide for the fees, renewals and taxes that apply. You may cancel in the Service, and a cancellation takes effect at the end of the period already paid for. A change to the price of your subscription applies from its next renewal after we notify you, and you may cancel before then.

Fees are non-refundable, including for partial periods, except as required by law or as we decide in our discretion. You are responsible for all taxes. If a trial or subscription ends, or a payment fails or is disputed, we may limit, suspend or terminate access to the Service, including by making a workspace read-only, and we may delete its content as provided in these Terms.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT ANY DEFECT WILL BE CORRECTED, THAT DATA WILL NOT BE LOST OR CORRUPTED, OR THAT THE SERVICE OR ITS OUTPUT WILL MEET YOUR REQUIREMENTS OR BE ACCURATE OR COMPLETE. YOU USE THE SERVICE AT YOUR OWN RISK. NO ADVICE OR INFORMATION FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OWNERS, PERSONNEL, LICENSORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) AND THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of internet, hosting or other third-party services, labor disputes, acts of government, and natural disasters. These limitations apply even if a remedy fails of its essential purpose, and some jurisdictions do not allow certain limitations, in which case ours apply to the fullest extent permitted.

11. Indemnification

You will defend, indemnify and hold harmless Gant Street LLC, its owners, officers, employees, contractors and agents, and its licensors and service providers, from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to your content, your use of the Service, your agents and the people you invite, your violation of these Terms or of law, or your violation of any rights of another person. We may assume the exclusive defense of any matter at your expense, and you will cooperate.

12. Governing law and venue

These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the state in which Gant Street LLC is organized and the federal laws of the United States, without regard to conflict-of-laws rules. Subject to Section 13, any legal action must be brought exclusively in the state or federal courts located in that state, and you consent to their personal jurisdiction and venue.

13. Dispute resolution

Informal resolution. Before starting a formal proceeding, each of us will try in good faith to resolve the dispute by negotiation for at least 30 days after written notice describing it.

Binding arbitration. If the dispute is not resolved, it will be resolved exclusively by binding arbitration administered by the American Arbitration Association under its applicable rules, by a single arbitrator, conducted in the state in which Gant Street LLC is organized or remotely. Judgment on the award may be entered in any court of competent jurisdiction. Either of us may bring an individual action in small-claims court, and either of us may seek injunctive or other equitable relief in court to protect intellectual property or confidential information.

No class actions. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.

Time limit. To the extent the law allows, any claim arising out of or related to the Service or these Terms must be brought within one (1) year after it arose, or it is permanently barred.

14. Termination

We may suspend or terminate your access to the Service, or any part of it, at any time, with or without notice, for any reason or no reason, without liability to you. You may stop using the Service at any time and may delete your workspace or ask us to delete your account. We may, but are not required to, give you the opportunity to export your content first. After termination we may delete your content, subject to our Privacy Policy and applicable law. Sections that by their nature should survive termination will survive, including Sections 3, 4, 7 and 9 through 16.

15. Changes to these Terms

We may modify these Terms at any time. For a material change we will try to give at least 30 days' notice, by email, in the Service or by posting, and we decide in our discretion what is material. Changes take effect when posted or on the date stated in the notice. By continuing to use the Service after a change takes effect, you accept the revised Terms.

16. General

These Terms and the Privacy Policy are the entire agreement between you and us about the Service and supersede all prior or contemporaneous agreements about it. If any provision is found unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign or transfer these Terms or your rights under them without our written consent; we may assign them freely. There are no third-party beneficiaries except those named in Sections 10 and 11. You may not use the Service if you are barred from doing so under United States law, including export and sanctions laws. We may give notices to you by email to the address on your account, in the Service or by posting; you consent to receive them electronically. Headings are for convenience only.
